I have 2 questions:
1). would I loose implants if I respec'ed my skills?
2). if I had +20 memory, can I take 3 points from it or would it be forced down to +15?

Implants and learnings have absolutely nothing to do with respec. Respec is only there to shuffle around your 39 base attributes.
You can have at most 15 base in one, you have to have at least 5 in each, and you have to have 39 total. This means you can at most min-max to 15/9/5/5/5 base in any chosen attribute pair. Of course, you can do 8/8/8/8/7 if you want too, that's what new characters in M10 start with, by the way. Old possible picks like 10/10/8/8/3 or 9/9/9/9/3 (Achura) will no longer be possible.

12s would be int and per, for an average character

However, that's neglecting the fact that drone skills are Mem/Per, T2 ship skills are Wil/Per, and industry skills are Mem/Int.
Sure, not everyone will train industry skills, but drone and T2 ship skills are pretty damn important. ---

Do you have to respec if you currently have an attribute at less than 5?
If you think corp is different than a guild or clan you have some insecurity issues.

No, you can leave all attributes as they are now. But if/when you want to respec, you have to bring them all to at least 5 first.

I am bumping this in part b/c there are good explanations within the thread. I have a questions though: is there a tool or spreadheet etc, that will show me what my possibilities are before playing with them?
Similarly, if I decide to respec, can I "cancel" and not lose some 3 attribute if I do not like what I see?
In one of my characters(Brutor), has int 18, charisma 21, perception 27, memory 18, willpower 24. This is base with +5 imps but add about 2 to each attribute for "effective" in evemon.
For instance, what can I respec to? For instance if I finished up some leadership skills, could I have more in the other attributes? Or conversely since I have decent gunnery and missiles 10mil/7mil should I finish up some gunnery skills and then dump attributes into whatever is needed for ewar?
I realize this depends on what I want to do, but without understanding what my base is and the possibilities, it is hard to consider options.

Your base attributes are the attributes you would have if you had NO learning skills and no implants.
Those are the only thing that you can remap. To complete the remap ALL of them must be at least 5 and at most 15 and add up to a total of 39.
If you start a neural remap, you can play around with the remap. It will not be applyed and you can "cancel" out of the remap dialog without actually remapping.
EVEMon can be used to compute the best neural remap for a given skillplan (feature is in the developers build, not yet part of the stable release, will be in the next update, there's no ETA for when this will be).
